OFFICIAL RULES: THE 2009 VISA PREPAID DEBIT CARD DIRECT DEPOSIT SWEEPSTAKES.

1. Eligibility: The 2009 Visa Prepaid Debit Card Direct Deposit Sweepstakes (the “Sweepstakes”) is open to all legal residents of the fifty (50) United States and the District of Columbia 18 years or older as of May 1, 2009. Employees of Visa Inc., Visa U.S.A. Inc., Visa International Service Association, and their respective successors, affiliates and client financial institutions, authorized third party providers, their officers, directors, shareholders, and their affiliates, subsidiaries, parent companies, representatives, agents, and other vendor agencies, prize suppliers, advertising and promotion agencies of Visa U.S.A. Inc., including Marden-Kane, Inc. (collectively, “Released Parties”), and the immediate families (spouse, and parents, children and siblings, and their respective spouses regardless of where they live) and individuals living in the same households, whether related or not, of the above, are not eligible. Void where prohibited or restricted by law. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

2. To Enter: The Sweepstakes begins May 1, 2009, and ends on July 31, 2009. ("Promotional Period"). Any eligible consumer will automatically receive one (1) Sweepstakes entry in The 2009 Visa® Prepaid Debit Card Direct Deposit Sweepstakes when he/she receives a recurring direct deposit to his/her existing or new Visa Payroll Card or General Purpose Prepaid Card (the “Card” or “Cards”) during the Promotional Period. To be eligible for automatic entry, your Card issuer must have agreed to participate in this promotion with Visa, otherwise you will have to enter via the 3”x5” mail-in method described below. Eligible recurring direct deposits are direct deposits that occur at least monthly by the same company or person. All qualifying transactions will be determined at the sole discretion of Visa and its participating Card issuers. One entry per person for the entire Promotional Period, regardless of the number of multiple direct deposits to one or more Cards. Only direct deposits made to your Card no later than July 31, 2009 are eligible for automatic entry. The Sponsor does not accept any responsibility if your payer does not deposit funds to your Card in time to be credited to your account by July 31, 2009.

To enter without purchase or obligation, on a 3” x 5” card hand print your name, complete address, city, state and zip code, day and evening telephone numbers and the words The 2009 Visa Prepaid Debit Card Direct Deposit Sweepstakes and mail in a #10 envelope, hand-printed to: The 2009 Visa Prepaid Debit Card Direct Deposit Sweepstakes, P.O. Box 4027, Grand Rapids, MN 55730-4027. Mail-in entries must be postmarked no later than July 31, 2009 and received no later than August 7, 2009. Only one entry per person for the entire Promotional Period. Mechanical reproductions are not eligible. Entries become the property of Visa U.S.A. Inc. (“Sponsor”) and will not be returned.

3. Drawing: On or about August 21, 2009 a random drawing from among all eligible entries received throughout the entire Promotional Period (transactions & mail-ins) will be conducted under the direction of Marden-Kane, Inc., an independent judging organization whose decisions are final and binding in all matters relating to this Sweepstakes.

4. Estimated Odds: The estimated odds of winning are: 1:1,050,000; however, the actual odds of winning will depend upon the total number of eligible entries received during the Promotional Period.

5. Prizes: One (1) Grand Prize: The winner will receive a check and/or credit to his/her Card for a total amount of $10,000. Retail Value $10,000. If a mail-in entrant is selected as a winner, he/she will receive a check for the amount of his/her winnings made payable to the person named on the 3”x5” card. No prize substitutions or transfers of prizes permitted except at the sole discretion of the Sponsor, who reserves the right to substitute the prize with one of comparable or greater value. The winner is responsible for the payment of taxes on the prize and for any other costs and expenses associated with the acceptance and use of the prize not specifically described above.

6. Winner Notification: On or about August 23, 2009 the potential Grand Prize Winner will be notified by USPS Priority Mail with delivery confirmation and will be required to complete and sign an Affidavit of Eligibility and Liability Release, where legal, a Publicity Release, and IRS Form W-9, all of which must be returned within 14 days from prize notification date or the prize will be forfeited and awarded to an alternate potential winner. In the event of non-compliance with these Official Rules or if the prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and awarded to an alternate potential winner. If the prize is won by a person who is not of the legal age of majority in the state of residence (“minor”), the required documents must be confirmed and signed by winner’s parent or legal guardian. By entering the Sweepstakes, entrants, or, if minors, their parents or legal guardians, agree to the use by Sponsor and its designees of their names, state, and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without limitation, the Internet) without additional compensation, notification or permission, except where prohibited by law. Upon request, winner agrees to consent to such in writing.

7. Limitation of Liability: By participating in the Sweepstakes, entrants, or, if minors, their parents or legal guardians, agree to release, indemnify and hold harmless Released Parties from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting, in whole or in part, directly or indirectly, from or arising in connection with the participation in the Sweepstakes or acceptance, possession, use, misuse, or nonuse of the prize (including, without limitation, any travel or travel-related activity thereto) that may be awarded. All entrants or, if minors, their parents or legal guardians agree that the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, Sponsor and/or the Administrator in connection with this Sweepstakes shall be interpreted in accordance with the laws of the State of California; and that any dispute shall be resolved in either federal or state courts located in the State of California without regard to its principles of conflicts of law. Jurisdiction and venue shall be solely within the State of California. Released Parties are not responsible for technical, computer, mechanical, printing, typographical, human or other errors relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries or in any Sweepstakes related material, the announcement of the prize; or for stolen, lost, late, misdirected, damaged, incomplete, inaccurate, illegible or postage due entries; or for electronic, computer, or telephonic malfunction or error, entries which fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly, or are lost for any reason including computer, telephone, or paper transfer or human or other error. If in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise, corrupt, or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, the Sponsor at its sole discretion reserves the right to disqualify any individual who tampers with the entry process and/or void any entries submitted fraudulently, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and conduct a random drawing and award the prizes using all eligible non-suspect entries received as of the termination date. As a condition of entering the Sweepstakes, entrant or, if a minor, his/her parent or legal guardian, agrees that a) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses, b) all causes of action arising out of or connected with this Sweepstakes or the prizes awarded shall be resolved individually, without resort to any form of class action, and c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred and in no event shall entrant be entitled to receive attorneys’ fees or other legal costs. Sponsor reserves the right to modify prize award procedures. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the promotion is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

8. Who Won?: For the name of the winner (available after September 30, 2009), mail a self-addressed, stamped envelope to: The 2009 Visa Prepaid Debit Card Direct Deposit Sweepstakes Winner, P.O. Box 714, Sayreville, NJ 08871-0714. Requests must be received no later than September 15, 2009. The winner’s name will be sent when the winner has been verified and notified.
